Terms of Service

These Terms of Service govern your access to hersoul.ai and Her products and services offered by HER PTE. LTD. (UEN 202611988E), a Singapore company with its registered office at 10 Kaki Bukit Road 2, #01-36, First East Centre, Singapore 417868 ("Her", "we", "us", or "our").

1. Acceptance

By accessing the website, applying for beta access, creating an account, or using Her services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website or services.

You must be at least 13 years old, or the minimum age required by the laws of your country, to use Her. If you use Her on behalf of an organization, you represent that you have authority to bind that organization.

2. The Her Service

Her is an AI companion product that may include conversation, memory, workspace, agent, automation, and productivity features. Some features may be provided through desktop software, web services, cloud infrastructure such as Amazon Web Services (AWS), or third-party AI model providers such as Anthropic where applicable.

Her may offer beta, preview, or experimental features. Beta features may be incomplete, unstable, inaccurate, rate-limited, changed, suspended, or discontinued at any time.

3. Accounts and Security

You are responsible for the accuracy of information you provide and for keeping your credentials secure. You must promptly notify us of unauthorized account access or suspected security issues. We may suspend or restrict accounts that create risk for Her, other users, or third-party providers.

4. Acceptable Use

You may not use Her to:

• violate laws, regulations, sanctions, export controls, or third-party rights;
• create, distribute, or facilitate illegal, harmful, abusive, exploitative, deceptive, or infringing content;
• generate malware, conduct phishing, perform credential theft, or compromise systems;
• abuse, overload, reverse engineer, scrape, bypass, or interfere with Her or provider systems;
• submit content you do not have the right to use;
• use outputs as professional medical, legal, financial, or psychological advice without qualified human review;
• resell, sublicense, or provide Her as a managed service without our written permission.

We may enforce additional safety rules, rate limits, model-provider policies, or product-specific restrictions.

5. AI Outputs

AI outputs may be inaccurate, incomplete, biased, offensive, or unsuitable for your use case. Similar inputs may produce different outputs, and outputs may not be unique. You are responsible for reviewing outputs before relying on, publishing, or acting on them.

Her does not provide professional advice. Important decisions should be reviewed by qualified humans.

6. Your Content

You retain ownership of prompts, files, messages, memory entries, and other content you submit to Her. You grant us the rights needed to host, process, transmit, display, reproduce, and otherwise use your content to provide, secure, support, and improve Her, subject to our Privacy Policy and your product settings.

You represent that you have the rights needed to submit your content and that your content does not violate law or these Terms.

7. Privacy and Data Transfers

Our Privacy Policy explains how we handle personal data, including AI processing, service providers, retention, and international transfers. By using Her, you acknowledge that data may be processed in Singapore, the United States, the European Union, or other jurisdictions where we or our providers operate, subject to the safeguards described in the Privacy Policy.

8. Third-Party Services

Her may depend on third-party services, including cloud hosting providers such as Amazon Web Services (AWS), AI model providers such as Anthropic where applicable, payment processors, analytics, and email providers. Your use of these features may be subject to third-party terms and policies. We are not responsible for third-party services outside our control.

9. Payments and Subscriptions

If paid plans are offered, pricing, billing period, renewal terms, credits, cancellation rules, and refund terms will be shown at purchase or in the product. Payments may be processed by third-party providers. Unless stated otherwise or required by law, fees are non-refundable after a paid period begins.

10. Intellectual Property

Her, including the website, product design, software, models of interaction, brand, logos, documentation, and other materials, is owned by HER PTE. LTD. or its licensors. These Terms do not transfer ownership of Her intellectual property to you.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Her except as permitted by law or with our written permission.

11. Feedback

If you provide feedback, suggestions, or ideas, you allow us to use them without restriction or compensation. We appreciate feedback, but please do not submit confidential information as feedback unless we have agreed otherwise in writing.

12. Suspension and Termination

We may suspend, limit, or terminate access if you violate these Terms, create legal or security risk, misuse the service, fail to pay required fees, or if continued service would harm Her, users, or providers. You may stop using Her at any time.

13. Disclaimers

Her is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, availability, accuracy, and error-free performance.

We do not guarantee that Her will meet your requirements, that outputs will be correct, or that data will never be lost. You are responsible for maintaining backups of important information.

14. Limitation of Liability

To the maximum extent permitted by law, HER PTE. LTD. and its officers, employees, contractors, affiliates, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities.

To the maximum extent permitted by law, our total liability for all claims relating to Her will not exceed the amount you paid to Her for the service giving rise to the claim during the three months before the event giving rise to liability, or USD 100 if you have not paid us.

15. Indemnity

You agree to indemnify and hold HER PTE. LTD. harmless from claims, losses, liabilities, damages, costs, and expenses arising from your content, your misuse of Her, your violation of these Terms, or your violation of law or third-party rights.

16. Changes to Her or These Terms

We may update Her and these Terms as the product, providers, laws, or business needs change. Material changes will be posted on the website or communicated through reasonable means. Continued use after changes means you accept the updated Terms.

17. Governing Law

These Terms are governed by the laws of Singapore, unless mandatory consumer protection laws in your jurisdiction require otherwise. Courts in Singapore will have non-exclusive jurisdiction over disputes arising from these Terms.
